Welcome to includX, LLC! By signing up and using our platform, you agree to the following Terms and Conditions. Please read them carefully, as they contain important information about your rights, obligations, and limitations when using the includX, LLC platform.

Acceptance of Terms

By accessing or using includX, LLC, you agree to these Terms and Conditions, which form a binding agreement between you and includX, LLC. If you do not agree with any part of these Terms, please discontinue your use of the includX, LLC platform.

Platform Overview and Account Types

  • Platform Role as Intermediary includX, LLC is a digital platform that facilitates connections among three primary user groups: Event Curators, Includ Members (Event-Goers), and X Members (Influencers). includX, LLC does not host, operate, or organize any events listed on the platform. Instead, includX, LLC acts solely as an intermediary, providing tools to submit, promote, and discover events. includX, LLC is not responsible for the management, execution, or compliance of any events listed by third-party Event Curators.

  • Account Types

    • Includ Members (Event-Goers) General event-goers who can browse and purchase tickets to events curated by Event Curators.

    • X Members (Influencers) Influencers who participate in events to enhance engagement and may receive event invitations based on event themes and offerings.

    • Event Curators Individuals or entities, such as businesses or venues, that submit events for review with specific offerings to attract X Members. Approved Event Curators gain access to additional tools to manage events and view the influencer dashboard.

  • Eligibility

    • General EligibilityYou must be at least 18 years old to create an account on includX, LLC. By using the platform, you confirm that you meet this requirement and agree to provide accurate, current, and complete information.

    • Alcohol-Related Event Eligibility If an event includes alcohol sales, you must be at least 21 years old to attend. Attendance at such events is at your own risk, and includX, LLC is not liable for any incidents related to alcohol consumption.

  • Account Registration and Security

    • Registration Requirements You must create an account to use certain features of includX, LLC. You agree to provide true, accurate, and complete information during registration and to keep this information updated.

    • Account Security You are responsible for maintaining the security of your account credentials. You must immediately notify includX, LLC of any unauthorized use of your account. includX, LLC is not liable for any losses arising from unauthorized access to your account.

    • Account Suspension includX, LLC reserves the right to suspend or terminate any account at its discretion, including accounts found to be in violation of these Terms, engaging in fraudulent or harmful activities, or posing a risk to other users.

  • Event Listings, Participation, and Compliance

    • Event Curation and Approval Event Curators may submit events for review. All events must feature unique offerings designed to attract X Members (Influencers) and align with includX, LLC’s mission of purpose-driven events. includX, LLC reserves the right to approve or reject any event.

    • Event Attendance and Conduct Includ Members (Event-Goers) and X Members (Influencers) are expected to act respectfully and responsibly during events. includX, LLC is not responsible for any incidents, accidents, or disputes that may arise during event participation.

    • Event Compliance Responsibility Event Curators are solely responsible for ensuring their events comply with all applicable laws and regulations, including but not limited to:

      • Licensing and PermitsEvent Curators must secure all necessary licenses and permits, including those required for alcohol service, capacity limits, health codes, and age restrictions.

      • Health and Safety StandardsEvent Curators are responsible for ensuring the safety and accessibility of the event venue, including compliance with local health, safety, and accessibility regulations.

      • Insurance Event Curators are required to carry liability insurance covering any incidents that may occur during the event. includX, LLC disclaims all responsibility for any claims arising from event curation, safety, or legal compliance.

  • Disclaimer of Liability for Event Conduct and Compliance By using includX, LLC, you acknowledge that includX, LLC does not control, manage, or supervise events hosted by third-party Event Curators. As such, includX, LLC disclaims any liability for:

    • Underage entry or alcohol-related issues.

    • Altercations, injuries, or incidents occurring at events.

    • Compliance with health, safety, licensing, and accessibility laws. All responsibility for the above lies solely with the Event Curator.

  • Content and Intellectual Property

    • Ownership You retain ownership of any content (text, images, video, etc.) that you upload to includX, LLC. However, by posting content, you grant includX, LLC a non-exclusive, royalty-free, worldwide license to use, modify, distribute, and display your content on the platform.

    • Prohibited Content Users are prohibited from posting content that is unlawful, harmful, defamatory, or otherwise objectionable. includX, LLC reserves the right to remove content that violates these Terms or is deemed inappropriate.

    • Intellectual Property Rights All materials on includX, LLC, including trademarks, logos, and graphics, are the property of includX, LLC or its licensors. Unauthorized use of includX, LLC’s intellectual property is prohibited.

  • Payment and Fees

    • Membership and Ticket Fees Includ Members (Event-Goers) pay a monthly membership fee to access exclusive events and features on the includX, LLC platform. Additionally, a 10% service fee and a processing fee of 2.9% + $0.30 per transaction will be added to the ticket price for Includ Members, which are non-refundable.

    • Event Curator Fees Event Curators may be charged for sending event invitations to influencers based on chosen influencer tiers. These fees are non-refundable, except as otherwise stated in these Terms.

    • Influencer No-Show Refund Policy For each invite paid for by an Event Curator where the invited X Member does not attend the event, the Event Curator will have the option to receive either a full refund for the no-show invite or 2x the value in credits on the platform. These credits can be used for invites to future events hosted on includX, LLC.

  • Privacy Policy

    Your privacy is important to us. By using includX, LLC, you agree to our collection, use, and sharing of your information as described in our Privacy Policy

  • Limitation of Liability and Disclaimer of Warranties

    • Platform as an Intermediary includX, LLC is a digital platform connecting users and facilitating event discovery and participation. includX, LLC is not responsible for the actions, omissions, or representations of Event Curators, Includ Members, or X Members. includX, LLC disclaims all liability for any loss, injury, or harm arising from events or user interactions.

    • No Warranties includX, LLC provides the platform “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose.

    • Limitation of Damages includX, LLC’s liability to you is limited to the greater of (i) the total amount you paid to includX, LLC in the last twelve (12) months, or (ii) $100. includX, LLC is not liable for indirect, incidental, punitive, or consequential damages.

    • Release of Claims By using includX, LLC, you agree to release, waive, and hold harmless includX, LLC, its affiliates, officers, directors, employees, and agents from any claims arising from your use of the platform or participation in events.

  • Dispute Resolution and Governing Law

    • Governing Law These Terms are governed by the laws of [Your Country/State].

    • Arbitration Any disputes arising out of these Terms or the use of includX, LLC shall be resolved through binding arbitration under the rules of [Arbitration Association].

  • Prohibited Activities

    To maintain a safe, compliant, and respectful community, the following activities are strictly prohibited:

    • Unauthorized Contact and Off-Platform Invitations

      • Unauthorized Direct Contact with X Members: Event Curators are prohibited from reaching out directly to X Members once they gain the ability to invite them to events. All communications with X Members regarding event invitations must occur solely through includX, LLC’s official channels to ensure a streamlined and respectful experience for all users.

      • Off-Platform Invitations and Compensation: includX, LLC shall be entitled to compensation for any X Members introduced to an Event Curator through the includX, LLC platform whom the Event Curator subsequently attempts to invite or engage for events outside of includX, LLC without utilizing the includX, LLC invitation process. Event Curators may invite X Members outside of includX, LLC only if they can demonstrate a pre-existing relationship with written documentation predating the connection through includX, LLC.

    • Content and Misuse of Platform

      • Inappropriate Content: Posting, uploading, or sharing any content that is defamatory, obscene, or promotes violence.

      • Intellectual Property Infringement: Posting or sharing content that infringes the intellectual property rights, privacy rights, or publicity rights of others.

      • Misleading Event Information: Creating events or promotions with false, misleading, or exaggerated information intended to deceive.

  • Use of Follower/Subscriber Data from Linked Platforms

    • Linked Social Media Accounts: includX, LLC allows X Members (Influencers) to link their social media accounts from platforms such as Instagram, YouTube, TikTok, and LinkedIn to verify their influence, categorize their membership tier, and enhance platform functionality. By linking these accounts, you agree to allow includX, LLC to collect and use your follower/subscriber count data for the purposes outlined below.

    • Data Collection and Usage: includX, LLC collects data on follower and subscriber counts solely for internal purposes, including:

      • Tier Placement: Determining the appropriate influencer tier for X Members based on follower/subscriber metrics.

      • Event Curation: Allowing Event Curators to filter and select X Members based on reach and engagement potential, enhancing the relevance and success of event invitations.

      • Platform Analytics: Analyzing aggregate metrics to improve platform offerings and optimize user experiences.

    • Privacy and Compliance

      includX, LLC respects user privacy and is committed to maintaining compliance with each platform’s terms of service. includX, LLC will not publicly display or share individual follower/subscriber counts without user consent, nor will it use this data for purposes unrelated to the includX, LLC platform's core functionality.

    • Updates to Linked Data

      includX, LLC periodically updates follower/subscriber counts from linked accounts to maintain accurate and up-to-date metrics. Users can unlink their social media accounts at any time, though doing so may affect their tier placement and eligibility for certain platform features.

    • No Affiliation with Third-Party Platforms

      includX, LLC is not affiliated with Instagram, YouTube, TikTok, or LinkedIn, and access to follower/subscriber data is subject to the terms and policies of these platforms. Users are responsible for ensuring compliance with the terms of service of any social media accounts they link to includX, LLC.
